Terms of Service — VibeMile

1. Acceptance of Terms

By creating an account, accessing, or using VibeMile, you agree to these Terms and our Privacy Policy. If you are using VibeMile on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree, you may not use the service.

2. Description of service

VibeMile provides an embeddable AI agent runtime that enables SaaS companies ("Host Companies") to offer AI-powered workflow creation to their end-users ("End-Users"). The platform includes conversational AI interfaces, sandboxed code execution environments, file processing, API integration tools, and workflow management features.

3. Accounts and access

To use VibeMile, you must create an account with accurate and complete information. You are responsible for:

Maintaining the security of your account credentials.
All activities that occur under your account.
Promptly notifying us of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period.

4. Acceptable use

You agree not to use VibeMile to:

Violate any applicable law, regulation, or third-party right.
Upload or process malicious code, malware, or content that could harm our infrastructure or other users.
Attempt to access other users' data, workflows, or sandbox environments.
Circumvent security measures, rate limits, or access controls.
Use the platform for cryptocurrency mining, distributed attacks, or other resource-abusive activities.
Reverse-engineer, decompile, or disassemble any part of the service.

5. Intellectual property

Your content: You retain ownership of all data, files, and content you upload to VibeMile. You grant us a limited license to process this content solely to provide and improve the service.

Generated workflows: Code and workflows generated by the AI agent on your behalf belong to you, subject to any applicable third-party licenses of underlying libraries or tools.

Our service: VibeMile and its underlying technology, branding, and documentation are our intellectual property. These Terms do not grant you any rights to use our brand, trademarks, or proprietary technology beyond normal use of the service.

6. Billing and payment

VibeMile uses a usage-based pricing model:

Host Companies pay for container compute and platform orchestration based on usage.
End-Users pay for LLM token consumption at rates set by the Host Company.

Fees are billed in arrears based on actual usage. We reserve the right to change pricing with reasonable notice. Outstanding balances may result in service suspension.

7. Service availability

We aim to provide high availability but do not guarantee uninterrupted service. VibeMile may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify you of planned maintenance in advance.

8. Sandboxed execution

Workflows execute in isolated sandbox environments. While we implement security measures to prevent cross-tenant access, you acknowledge that no system is perfectly secure. You are responsible for not uploading sensitive data (such as unencrypted passwords, personal health information, or financial credentials) unless the platform explicitly supports it with appropriate safeguards.

9. Third-party integrations

VibeMile may integrate with third-party APIs and services configured by you or the Host Company. We are not responsible for the availability, accuracy, or security of third-party services. Your use of third-party integrations is subject to their respective terms and conditions.

10. Limitation of liability

To the maximum extent permitted by law, VibeMile and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the service. Our total liability for any claim related to the service shall not exceed the amounts you paid to us in the twelve (12) months preceding the claim.

11. Disclaimer of warranties

VibeMile is provided "as is" and "as available" without warranties of any kind, express or implied. We do not guarantee that AI-generated code will be error-free, secure, or suitable for any particular purpose. You are responsible for reviewing and testing workflows before using them in production environments.

12. Indemnification

You agree to indemnify and hold harmless VibeMile, its operators, employees, and affiliates from any claims, damages, or expenses arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

13. Termination

You may close your account at any time. We may suspend or terminate your access if you violate these Terms, engage in abusive behavior, or fail to pay outstanding fees. Upon termination, your right to use the service ends immediately. We may retain certain data as required by law or for legitimate business purposes, as described in our Privacy Policy.

14. Governing law and disputes

These Terms are governed by the laws of the Republic of Latvia. Any disputes arising from these Terms or your use of VibeMile shall be resolved by the courts of the Republic of Latvia, unless mandatory consumer protection laws in your jurisdiction require otherwise.

15. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you via our website or email. Continued use of VibeMile after changes take effect constitutes acceptance of the updated Terms.
